IMPORTANT: This document is a working draft. It is NOT legal advice and has NOT been reviewed by a qualified Malaysian lawyer. Before publication, it must be reviewed by a licensed advocate & solicitor familiar with Malaysian contract law, the Consumer Protection Act 1999 (in particular Part IIIA on unfair contract terms), the Consumer Protection (Electronic Trade Transactions) Regulations 2012, the Contracts Act 1950 (in particular section 75 on the Late Return Charge, and section 28 on the non-circumvention clause), the Electronic Commerce Act 2006, the Mediation Act 2012, and the Personal Data Protection Act 2010. Version v2 was redrafted on 29 September 2026 to match how the Platform now operates; the commercial figures in it (fees, periods, notice and claim windows) are stated for confirmation. Also confirm with SSM whether operating publicly under the trading name "RoroBean" requires separate business name registration, since the registered company name differs from the trading name.

These Terms and Conditions (“Terms”) are the agreement between you and Eimir Farehah Network Sdn Bhd (SSM Registration No. 202201022331), of No 32, Jalan Pulau Kapas U10/86, Bukit Bayu, 40170 Shah Alam, Selangor, Malaysia (“RoroBean”, “we”, “us”, “our”), trading as “RoroBean”, for your use of the RoroBean mobile and web application and related services. By creating an account, by ticking the acceptance box for a Booking, or by otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1Definitions and Interpretation

1.1“Customer” means any individual or company who registers on the Platform to request delivery, rental, and collection of a RoRo bean (bin).

1.2“Bean Owner” means any individual or company who registers on the Platform to list and provide RoRo bean rental services to Customers.

1.3“Booking” means a rental of a Bean between a Customer and a Bean Owner, arranged through the Platform, that has become confirmed under clause 4.2.

1.4“Platform” means the RoroBean application, website, and associated services, operated by Eimir Farehah Network Sdn Bhd.

1.5“Content” means any information, text, review, rating, image, or data submitted by a user of the Platform.

1.6“Bean” means a RoRo bean (bin) — a roll-on/roll-off waste container — listed on the Platform for rental.

1.7“Driver” means an individual engaged by a Bean Owner, whether as employee or contractor, to deliver or collect a Bean and who records that work through the Platform.

1.8“Delivery” means the Bean being placed at the delivery address and recorded as delivered by the Driver through the Platform. “Collection” means the Bean being removed from the delivery address and recorded as collected by the Driver through the Platform.

1.9“Completion” means the point at which the Driver has recorded Collection and the Platform shows the Booking as completed. A Bean is “in use” from the moment its Booking is confirmed until Completion.

1.10“Collection Date” means the date for Collection stated in the Booking, as varied under clause 6.1.

1.11“Rental Period” means the period from the date of Delivery to the Collection Date. Each calendar day, or part of a day, counts as a full day.

1.12“Rental Component” means the base rental price of a Booking together with any Extension Fee, Overage Fee, Extension Charge and Late Return Charge, and excludes the Delivery Fee. “Delivery Fee” means the delivery charge shown at the time of the Booking.

1.13“Platform Records” means the records made or held by the Platform, including Booking, payment, invoice and points records, messages, audit logs, and the records made by Drivers such as timestamps, location data and photographs.

1.14Headings are for convenience only. “Including” does not limit what comes before it. A reference to a statute includes that statute as amended or replaced. “In writing” includes by email or through the Platform. The terms “Bean Owner” and “Customer” are used with these meanings in every language in which the Platform appears.

2RoroBean’s Role — A Technology Platform

2.1RoroBean operates a technology platform that connects Customers seeking RoRo bean rental services with independent Bean Owners who provide those services. RoroBean does not own, operate, deliver, collect, or otherwise physically provide any Bean, waste collection service, or transportation service.

2.2RoroBean is not a party to the rental agreement formed between a Customer and a Bean Owner for a Booking. That agreement exists solely between the Customer and the Bean Owner, on these Terms. RoroBean’s role is limited to facilitating discovery, booking, pricing display, payment collection, the issue of documents, and payout processing.

2.3Each Bean Owner authorises RoroBean to display its Beans and prices, to accept and collect payment on its behalf as its limited collection agent, to deduct the Platform Fee, to generate and deliver invoices and delivery orders in the Bean Owner’s name, and to remit the balance. Payment made to RoroBean in accordance with these Terms discharges the Customer’s obligation to the Bean Owner to the extent of the amount received.

2.4Bean Owners, and the Drivers they engage, are independent of RoroBean and are not its employees, agents, partners, or representatives. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship, except the limited collection authority in clause 2.3. RoroBean does not direct, supervise or control how a Bean Owner or Driver performs its work.

2.5Bean Owners are solely responsible for their compliance with all applicable laws, including solid waste management laws in their state of operation, local authority licensing and permit requirements, road transport and environmental regulations.

3Eligibility, Accounts, and Verification

3.1Users must be at least 18 years of age and legally capable of entering into a binding contract under Malaysian law. A company registering as a user must be duly incorporated and validly existing under Malaysian law. A person who registers or books on behalf of a company warrants that they have authority to bind it, and is personally liable together with the company if they do not.

3.2Users must provide accurate, current, and complete information, including a valid SSM business registration number where registering as a company, and must keep it up to date.

3.3Bean Owners must, before accepting any Booking and for as long as they hold themselves out on the Platform, hold all licences, permits, registrations, and approvals required by the relevant state or local authority to lawfully provide RoRo bean rental and waste collection services in that location. A Bean Owner must tell RoroBean within three (3) days if any of them expires, is suspended, or is revoked.

3.4RoroBean may verify, reject, suspend, or terminate any account at its sole discretion, including where information is false or misleading or where required licences cannot be evidenced.

3.5Any check RoroBean makes of a Bean Owner’s documents, identity, vehicles, Drivers or licences is a limited administrative check for RoroBean’s own purposes. It is not a warranty, certification, or assurance to any person that the Bean Owner is licensed or compliant, and no person may rely on it as one.

3.6An account is personal to its holder and may not be shared, sold, or transferred. The account holder is responsible for everything done through the account and for keeping its credentials secret, and must tell RoroBean at once of any unauthorised use. Each person may hold only one account of each kind.

4How a Booking Works

4.1A Booking is made by choosing the delivery location on the map, the delivery date and time slot, and the Collection Date; being shown the price; accepting these Terms for that Booking; and paying. The Customer’s acceptance is recorded for each Booking together with the version of these Terms, the time, and the device used.

4.2A Booking is confirmed only when the payment gateway has confirmed to RoroBean that full payment has been received and the Platform shows the Booking as confirmed. A screen, redirect, screenshot, or bank debit notice is not confirmation. Until confirmation, no Bean is reserved and no obligation to deliver arises.

4.3A Bean can be on only one Booking at a time. A Bean that is in use cannot be booked by anyone until Completion. If a Booking is paid for a Bean that turns out to be in use or otherwise unavailable, including where two Customers paid for the same Bean, RoroBean may cancel the later Booking. The Customer’s sole and exclusive remedy is a refund under clause 10.4.

4.4The Bean Owner will deliver within the time slot chosen and on the Bean Owner’s delivery days, and not on public holidays that the Platform shows as excluded. Delivery times are estimates that depend on traffic, weather, safety and access, and RoroBean gives no assurance of any particular time.

4.5The Customer, or a person the Customer has authorised, must give the Driver safe and lawful access to the delivery address at the time of Delivery and Collection. If Delivery or Collection cannot happen because access is refused or blocked, the address is wrong or unsafe, or nobody is available, the Bean Owner may cancel the Booking and keep the Delivery Fee and its reasonable costs, or re-attempt at the Customer’s cost, and the time passing counts towards the Rental Period.

4.6Delivery and Collection are declared by the Driver, through the link the Platform gives the Driver, at the time and place they happen. The Driver’s record may include the time, the location of the device, and photographs of the Bean and the delivery address. The Customer consents to those photographs and that location record being made and kept, as described in the Privacy Policy.

4.7The Rental Period starts on the date of Delivery. The Booking stays open, the Bean stays in the Customer’s custody, and the Customer stays responsible for it under Section 7 until the Driver records Collection, whatever the Collection Date says. Returning the Bean early, or asking for it to be collected before the Collection Date, does not entitle the Customer to any refund of the Rental Component.

4.8Any change to the Collection Date or to any price must be made through the Platform. A change or promise made outside the Platform, including by message or telephone to a Bean Owner or Driver, does not vary the Booking, the Platform Records, the Platform Fee, or anything RoroBean is owed.

5Prices, Charges, and Payment

5.1The price shown at the time of Booking is fixed for that Booking. It is made up of the base rental price, which the Bean Owner sets for the Bean within the range RoroBean allows for its size and which covers the standard rental period shown on the Platform (currently seven (7) days); the Delivery Fee, which the Bean Owner sets per kilometre beyond the free distance shown; and, if the Rental Period is longer, an extension fee taking the rental up to the extension limit shown (currently fourteen (14) days) and an overage fee for each day beyond it (currently RM9.90 a day). If a figure in these Terms differs from the price shown on the Platform at the time of Booking, the price shown on the Platform prevails.

5.2Other charges arise after the Booking and are payable in addition: the Extension Charge (Section 6), the Late Return Charge (clause 6.6), reasonable charges for prohibited items, overloading, contamination, loss or damage (Sections 7 and 8), and the cost of a re-attempt under clause 4.5.

5.3Amounts shown are the full amount payable unless the Platform says a tax is additional. If a tax that was not chargeable at the time of Booking becomes chargeable on a supply under a Booking, the person required by law to account for it may recover it in addition, to the extent the law allows.

5.4The price of a Booking is paid in full, in advance, through the payment methods the Platform offers. Charges that arise afterwards are shown to the Customer through the Platform, with a payment link, and are payable within seven (7) days of that notice. RoroBean may collect them on the Bean Owner’s behalf.

5.5RoroBean is not responsible for failures caused by payment gateways, banks, or telecommunications providers. A payment is made only when RoroBean’s payment gateway confirms that it has been received.

5.6RoroBean does not take a security deposit. That does not limit the Customer’s liability for charges arising after Delivery, all of which are payable under clause 5.4.

5.7If an amount is unpaid after it is due, RoroBean and the Bean Owner may recover it, together with the reasonable costs of recovery, and RoroBean may suspend the Customer’s account or refuse further Bookings until it is paid. RoroBean may set off any amount it owes the Customer against any amount the Customer owes.

5.8A Customer who disputes a charge must tell RoroBean through the Platform within seven (7) days of being shown it, giving reasons and evidence, and must pay any part that is not disputed. The Platform Records decide the facts unless shown to be wrong.

5.9RoroBean may change its pricing structure, delivery rates, extension fees, overage fees, and the Late Return Charge at any time. A change applies only to Bookings made after it takes effect. RoroBean may correct an obvious pricing error and, if it does so before Delivery, offer the Customer the corrected price or a refund.

6Extensions and Late Return

6.1While the Bean is on site and before the Collection Date has passed, the Customer may ask through the Platform to extend the Booking by choosing a new Collection Date. The Collection Date can be varied only in this way.

6.2The charge for an extension (“Extension Charge”) is the rental price for the new total number of days, less the rental price for the previous total number of days, under the pricing that applies to that Booking. It may be nil. An Extension Charge is part of the Rental Component.

6.3An extension is approved automatically if the Bean is not needed by another Booking and any Extension Charge has been paid through the Platform. It takes effect only when that payment is confirmed; until then the existing Collection Date applies. A request that is not paid lapses. RoroBean or the Bean Owner may refuse an extension that would breach a law, permit or safety requirement.

6.4Each paid extension is invoiced by the Bean Owner as a supplementary invoice linked to the original invoice, and the Platform Fee applies to it under Section 11.

6.5Once the Collection Date has passed, an extension cannot be made through the Platform. The Late Return Charge applies, and any further extension must be agreed with the Bean Owner and paid through the Platform.

6.6If Collection has not been recorded by the end of the Collection Date, the Customer must pay the Bean Owner RM50 (fifty Ringgit) for each day, or part of a day, after the Collection Date until the Driver records Collection (“Late Return Charge”). Its amount is fixed when the Driver records Collection, using the Driver’s record of the time, and is then shown to the Customer through the Platform. The Late Return Charge is part of the Rental Component.

6.7The parties agree that the Late Return Charge is the price of the continued possession and use of the Bean after the Collection Date, and is a genuine pre-estimate of the Bean Owner’s loss because a Bean that is out cannot be rented to anyone else. It is reasonable compensation for the purposes of section 75 of the Contracts Act 1950. It is in addition to the Rental Component already paid. It does not limit the Customer’s liability under Section 7 for loss, damage, fines or third-party claims, which are different losses.

6.8The Late Return Charge does not apply to a day on which Collection did not happen only because the Bean Owner or its Driver failed to attend, after the Customer had made the Bean accessible and had asked the Bean Owner through the Platform to collect it. In that case the Bean Owner, or RoroBean after looking at the Platform Records, may cancel the charge. The Bean Owner may also cancel it in any other case. The Customer’s access being blocked, an unpaid extension, or a load that the Bean Owner may lawfully refuse under Section 8 are not the Bean Owner’s failure.

6.9Nothing in this Section gives the Customer a right to keep the Bean after the Collection Date.

6.10If the Customer does not make the Bean available for Collection within fourteen (14) days after the Collection Date, or cannot be contacted, the Bean Owner may enter the delivery address if lawful and permitted to retrieve the Bean, and may deal with any contents in accordance with the law. The Customer bears the reasonable cost of doing so.

7Customer Obligations and Custody of the Bean

7.1The Customer must provide an accurate delivery location, contact details, and Booking information.

7.2The Customer is responsible for obtaining every permission needed to place the Bean where it is put, including from the local authority for any public road, verge or drain reserve, and from the landlord, owner, or management body of the site. RoroBean and the Bean Owner give no assurance that placement is permitted. Fines, summonses, and removal costs arising from placement are the Customer’s.

7.3From Delivery until the Driver records Collection, the Bean is at the Customer’s risk. The Customer is liable for its loss, theft, damage (other than fair wear and tear), fire, and contamination, and for any claim by a third party arising from the Bean’s presence or contents. The Bean Owner may charge the reasonable cost of repair or replacement, supported by evidence, and RoroBean may collect it.

7.4The Customer must use the Bean only for lawful waste that Section 8 allows; must not fill it beyond the fill line or above the weight or height limit the Bean Owner states; must not move it, lend it, sublet it, or allow anyone else to use it; and must take reasonable steps to prevent injury to others, including marking the Bean where the law or common sense requires. The Customer is responsible for waste placed in the Bean by anyone, including strangers.

7.5The Bean Owner may charge the reasonable additional cost of disposing of an overloaded or contaminated Bean, at the rates of the disposal facility.

7.6The Customer must pay the full amount shown at the time of Booking, together with every charge that arises under these Terms during and after the Rental Period.

8Prohibited Items and Waste

8.1The Customer must not place any of the following into a Bean booked through the Platform:

8.2The Customer warrants that the description of the waste it gives is true. The Bean Owner and RoroBean may refuse Collection, or charge additional fees, where prohibited items are found. The Customer remains solely liable for any fines, penalties, clean-up costs, or damages arising from prohibited or unlawfully disposed waste.

8.3RoroBean may give information about an incident to an authority where the law requires or permits it.

9Bean Owner and Driver Obligations

9.1Bean Owners must ensure that each Bean provided is safe, clean, and functional before Delivery, and that the vehicles used are roadworthy and lawfully licensed.

9.2Bean Owners must deliver and collect within the times agreed at Booking, and must ensure that the Driver records Delivery and Collection through the Platform at the time and place they happen. A Bean Owner must not record, or allow to be recorded, a Delivery or Collection that did not happen or did not happen when recorded. A false record is a material breach for which RoroBean may terminate the account immediately and withhold amounts under clause 14.1.

9.3The Bean Owner is responsible for its Drivers as for its own acts. It must make sure each Driver is competent, correctly licensed and lawfully engaged; must keep the job links the Platform issues confidential and give each only to the Driver assigned; and must make sure Drivers handle Customers’ personal data only as the Privacy Policy and the law allow. An action taken through a job link is treated as the Bean Owner’s action.

9.4Bean Owners are solely responsible for the lawful transport, handling, and disposal of all waste collected, including compliance with licence conditions, and must keep disposal records and give them to RoroBean or an authority within three (3) days of a request.

9.5Bean Owners must honour every confirmed Booking. A Bean Owner may cancel only for the Customer’s breach or for safety or legal reasons, and a cancellation by the Bean Owner otherwise may lead to refund recovery, loss of rank, suspension, or termination.

9.6Bean Owners are solely responsible for their own tax obligations, including income tax, sales and service tax, and any e-invoicing requirement, arising from income earned through the Platform, and for the content and tax status of the invoices issued in their name. The documents the Platform generates are a convenience and are not tax advice.

9.7Bean Owners must maintain the insurance required by law for their vehicles, equipment, and business operations.

9.8Each Bean Owner sets, through the Platform, the base rental price and the delivery rate of each of its Beans. The base rental price, for the standard rental period, must be within the range RoroBean sets for the size of the Bean, which the Platform shows to the Bean Owner (currently Small RM90 to RM200, Standard RM110 to RM220, Large RM130 to RM300 and Oversize RM150 to RM400), and the Platform does not accept a price outside the range. Until a Bean Owner sets a price, the price RoroBean shows for that size applies, where there is one. RoroBean sets the Extension Fee, the overage fee and the Late Return Charge. The Bean Owner is responsible for the prices it sets and agrees that RoroBean may display them to Customers. RoroBean may change the ranges at any time by notice through the Platform, and a changed range applies to prices set after the change.

10Cancellations, Non-Delivery, and Refunds

10.1A Customer may ask to cancel a Booking that has been paid, through the Platform or by writing to support@rorobean.com.my. A cancellation charge then applies, calculated on the total the Customer paid for the Booking, including the Delivery Fee and excluding any Late Return Charge: (a) forty per cent (40%) if the Driver has not yet departed for the Delivery; and (b) sixty per cent (60%) once the Driver has departed for the Delivery, including after the Bean has been delivered. The Driver is treated as having departed when the Driver’s record on the Platform shows that the lorry has left the depot or that the Bean has been delivered, and that record is conclusive unless it contains a manifest error. The charge is rounded to the nearest sen, and the Customer is refunded the amount paid less the charge. A Booking that has not been paid may be cancelled without charge.

10.2Where the Bean has already been delivered, the Booking ends only when the Driver has recorded Collection, and the Customer must make the Bean accessible for Collection. The cancellation charge is then the whole of the Customer’s liability for the rental, but a Late Return Charge still applies if Collection happens after the Collection Date because access was not given.

10.3The cancellation charge is shared equally between the Bean Owner and RoroBean, fifty per cent (50%) each. No Platform Fee is deducted from the Bean Owner’s share. No cancellation charge is payable where the cancellation is caused by RoroBean or the Bean Owner, or where the Bean is not delivered for a reason that is not the Customer’s.

10.4If a Booking is cancelled by RoroBean or the Bean Owner, or the Bean is not delivered for a reason that is not the Customer’s, RoroBean will refund the amounts paid for that Booking. This is the Customer’s sole and exclusive remedy against RoroBean, subject to rights that cannot lawfully be excluded, and does not affect any claim the Customer may have against the Bean Owner.

10.5Refunds are paid by bank transfer to a bank account in the Customer’s own name that the Customer provides, within seven (7) to fourteen (14) days after the refund is requested, once RoroBean’s finance officer has approved it. RoroBean may ask for proof that the account belongs to the Customer. RoroBean may recover a refund made for the Bean Owner’s fault from the Bean Owner. Loyalty points are reversed under Section 12.

10.6A Customer must not reverse or dispute a payment with a bank or payment provider for a service that was provided. RoroBean may recover any amount reversed in this way, and the costs, from the Customer.

10.7A Customer’s claim about the Bean, its condition, Delivery, or Collection must be raised through the Platform within seven (7) days after Completion. After that it is treated as waived, except for fraud, personal injury, or a claim the law does not allow to be limited in this way.

11Platform Fee, Payouts, and Invoices

11.1RoroBean charges Bean Owners a Platform Fee of eighteen point five seven per cent (18.57%) of the total price paid for every Booking, which includes the base rental price and the Delivery Fee. The Platform Fee applies to every rental, whatever the size of the Bean. It applies to the Extension Fee, Overage Fee, Extension Charge and Late Return Charge in the same way as to the base rental. The rate applied to a Booking is the rate at the time of the Booking and stays the same for that Booking, including its extensions and any Late Return Charge.

11.2RoroBean may change the standard Platform Fee at any time by notice to Bean Owners through the Platform. The change applies only to Bookings made after it takes effect, and a Bean Owner who does not accept it may stop listing its Beans. The rate applied to a particular Booking may be lower where an active promotional campaign communicated to Bean Owners through the Platform applies to it. A promotion gives no right to it continuing.

11.3RoroBean offers optional paid plans to Bean Owners: Compliance Assist (reminders before a licence, road tax, inspection or insurance expires) and Fleet Management Solution (which includes Compliance Assist, and the Driver Status board). The price, what each plan includes, the free trial, the grace period, payment, cancellation and renewal are stated on the My Plan page of the Platform and form part of these Terms. A plan is paid in advance for one month or one year, is not renewed automatically, and is not refunded for a period not used. A plan does not change the Platform Fee. RoroBean may offer promotional prices, such as an early-bird price for a yearly plan, and a promotion gives no right to it continuing.

11.4RoroBean collects payment, deducts the Platform Fee, and pays the balance to the Bean Owner (a “Payout”) periodically, to the bank account registered in the Bean Owner’s own name. A Payout is due only after Completion. RoroBean may delay or withhold a Payout where a Booking is under dispute or investigation, is suspected of fraud, has no Driver record of Collection, or where the Bean Owner’s bank or identity details have not been verified, and RoroBean is not liable for a payment made to bank details the Bean Owner supplied.

11.5RoroBean may set off against a Payout any refund, reversal, fee, charge, or other amount the Bean Owner owes RoroBean or a Customer under these Terms. A Payout later found not to have been due, whether from a refund, fraud, or error, must be repaid within seven (7) days of demand.

11.6RoroBean will give the Bean Owner a self-billed statement with each Payout. The Bean Owner accepts it as accurate unless it raises a written objection within fourteen (14) days.

11.7The Bean Owner is the issuer of the invoice and delivery order for each Booking. RoroBean generates and delivers them on the Bean Owner’s behalf through the Platform, and issues a supplementary invoice for each extension and each paid Late Return Charge. A Late Return Charge that is cancelled is not payable and carries no Platform Fee.

11.8The Platform Fee is exclusive of any sales and service tax or other tax that applies to it, which the Bean Owner must pay in addition or which RoroBean may deduct from a Payout. RoroBean may issue any tax statement the law requires and may report to any authority as the law requires.

12Loyalty Points and Owner Ranking

12.1A Customer earns one (1) point for each whole Ringgit paid under an invoice for a Booking, multiplied by the Customer’s tier multiplier shown on the Platform, and sen are not counted. Points are credited at the moment the invoice is issued, including the invoice for an extension or a Late Return Charge.

12.2Points are reversed in the same proportion as any refund of the amount paid, so that all points are reversed where the whole amount is refunded. Where the points reversed have already been spent, RoroBean may deduct the shortfall from points the Customer earns later.

12.3Loyalty points have no cash value, are non-transferable, and may not be sold, exchanged, or redeemed for cash. They expire as the Platform states, currently after twenty-four (24) months without Booking activity.

12.4RoroBean may change the tiers, multipliers, rewards, and rules of the programme. An improvement takes effect at once. A change that materially reduces what a Customer earns or receives takes effect only after at least thirty (30) days’ notice through the Platform, and does not remove points already credited. RoroBean may end the programme on the same notice, and may substitute a reward of similar value if one becomes unavailable.

12.5Points obtained through fraud, self-dealing, multiple accounts, or error may be removed, and the account may be suspended.

12.6A Bean Owner’s rank is set by RoroBean using the completed Bookings, ratings, compliance and other measures the Platform shows. A job counts towards rank only after the Driver has recorded Collection and the Booking shows as completed. A Booking that is cancelled, refunded for the Bean Owner’s fault, voided, or completed by an administrator without the Driver’s record does not count. RoroBean may confirm or adjust a rank, particularly a higher one, in its discretion. A rank and its benefits are not property, may be changed with notice, and give no right to any number of Bookings.

13Reviews and Ratings

13.1Ratings and reviews must be honest, based on an actual Booking that has reached Completion, and must not contain defamatory, abusive, or unlawful content, or be given or received in exchange for a benefit.

13.2RoroBean may remove a review or rating that breaches these Terms, in its discretion, and may use reviews to operate and promote the Platform.

14Fair Use, Fraud, and Circumvention

14.1A user must not: give false information; make a Booking on its own Bean, or through a related person or another account it controls, to earn points or rank; hold more than one account of a kind; manipulate reviews; falsify or misuse a Driver record, including the location or photographs; or use the Platform to defraud anyone. RoroBean may in response void the Booking, reverse points and rank credit, withhold or recover the related amounts, suspend or terminate accounts, report the matter to an authority, and recover its costs.

14.2A Bean Owner must not arrange payment for a rental outside the Platform with a Customer it was introduced to through the Platform. If a Bean Owner rents a Bean to such a Customer other than through the Platform within twelve (12) months after that introduction, the Bean Owner must pay RoroBean an amount equal to the Platform Fee that would have been payable on that rental, together with the reasonable costs of recovery. The parties agree this is a genuine pre-estimate of RoroBean’s loss. This does not restrict a Bean Owner from dealing with customers it had before the Platform introduced them.

14.3A Customer must not pay a Bean Owner or Driver directly for a Booking, or ask them to bypass the Platform.

15Platform Records and Electronic Dealing

15.1The Platform Records are the primary evidence of what happened under a Booking, including the price, Delivery, Collection, payment, and points. They bind the parties unless shown to be wrong. The parties agree that an electronic record made by the Platform is admissible in evidence, and do not object to it on the ground that it is electronic.

15.2The parties agree to contract, sign, and receive notices and documents electronically. Ticking an acceptance box is the person’s signature for the purposes of the Electronic Commerce Act 2006. A notice sent by RoroBean by email to the address on the account, or shown through the Platform, is received when sent.

16Disclaimers

16.1The Platform is provided on an “as is” and “as available” basis. RoroBean does not warrant that the Platform will be uninterrupted or error-free, or that any distance, price estimate, delivery time, or map data will be accurate at all times.

16.2RoroBean makes no warranty as to the quality, condition, safety, or legality of any Bean or service provided by a Bean Owner or Driver. Any such warranty is given by the Bean Owner alone. RoroBean is not responsible for the services of third parties such as payment gateways, mapping, messaging, and email providers.

16.3Nothing in these Terms removes a right that the Consumer Protection Act 1999 or another law gives to a Customer who is a consumer and that cannot lawfully be excluded.

17Limitation of Liability

17.1To the maximum extent permitted by Malaysian law, RoroBean is not liable for any indirect, incidental, special, consequential, or punitive loss, or for any loss of profit, revenue, data, goodwill, or business, arising out of or relating to the Platform.

17.2RoroBean is not liable for any act, omission, negligence, misconduct, or breach of contract by any Bean Owner, Driver, or Customer, including property damage, personal injury, unlawful waste disposal, or failure to deliver or collect a Bean as agreed. A claim of that kind must be made against the Bean Owner, Driver, or Customer responsible.

17.3To the extent RoroBean is found liable to any person for a claim arising from the Platform, its total aggregate liability for all claims relating to a Booking is limited to the greater of the Platform Fee RoroBean received for that Booking and RM100.

17.4Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Malaysian law, including liability for fraud or for death or personal injury caused by negligence.

17.5A claim against RoroBean by a Bean Owner or other business user must be brought within twelve (12) months after the event giving rise to it. For a Customer who is a consumer this applies only to the extent the law allows.

18Indemnity

18.1Each Customer and Bean Owner agrees to indemnify and hold harmless RoroBean, its directors, officers, and employees from and against any claims, damages, losses, liabilities, fines and expenses (including reasonable legal fees) arising out of: (a) their breach of these Terms; (b) their violation of any law; (c) any dispute between a Customer and a Bean Owner; (d) any Content they submit; and, in the Customer’s case, (e) waste placed in a Bean, the placement of a Bean, and loss of or damage to a Bean; and, in the Bean Owner’s case, (f) the acts and omissions of its Drivers, its licensing, transport and disposal of waste, and its tax.

18.2RoroBean may take over the defence of a claim covered by this Section at the indemnifying party’s cost, and the indemnifying party must give the help RoroBean reasonably asks for.

19Insurance

19.1Bean Owners are solely responsible for adequate insurance for their vehicles, equipment, and business operations, including any cover the law requires for the transport and disposal of waste.

19.2RoroBean does not provide insurance for Bean Owners, Customers, or any property damage or personal injury arising from a Booking, unless it states so in writing. Customers should insure their own property.

20Data Protection and Privacy

20.1RoroBean processes personal data in accordance with the Personal Data Protection Act 2010 and its separate Privacy Policy, which forms part of these Terms by reference.

20.2By using the Platform, users consent to the collection, use, and disclosure of their personal data as the Privacy Policy describes, including sharing the Booking details, the delivery address, and the Customer’s name and telephone number with the Bean Owner and its Driver to carry out the Booking, and the Driver’s location and photographs described in clause 4.6.

20.3A Bean Owner and its Drivers may use a Customer’s personal data only to carry out the Booking and as the law requires, and not for marketing.

21Intellectual Property

21.1The “RoroBean” name, logo, application, and all related branding and content are the property of RoroBean and may not be used, copied, or reproduced without prior written consent.

21.2A user who submits Content gives RoroBean a non-exclusive, royalty-free licence to use it to operate and promote the Platform.

22Account Suspension and Termination

22.1RoroBean may suspend or terminate any account, at its sole discretion and without prior notice, where a user breaches these Terms, has unpaid amounts, engages in fraudulent or unlawful activity, or where continued access poses a risk to the Platform, other users, or the public.

22.2Users may close their account at any time by contacting RoroBean, subject to settlement of outstanding Bookings, charges and Payouts. Closing or terminating an account does not affect rights that have already arisen, and RoroBean may keep records as the law requires. Points may be forfeited on termination for breach.

23Dispute Resolution

23.1A dispute between a Customer and a Bean Owner about the quality, condition, timeliness, or performance of a Booking should first be raised directly with the other party. RoroBean may help but is under no obligation to arbitrate or decide it. RoroBean’s decisions about refunds, points, rank, and Payouts on the Platform are final for the purposes of the Platform, without limiting a person’s right to go to a court or tribunal.

23.2A dispute between a user and RoroBean arising from these Terms must first be raised in writing and negotiated in good faith for thirty (30) days, and then referred to mediation under the Mediation Act 2012 before formal legal action is started, except where urgent relief is needed.

23.3Nothing in these Terms prevents a Customer who is a consumer from making a claim to the Tribunal for Consumer Claims Malaysia or complaining to the relevant authority.

24Force Majeure

24.1RoroBean is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, government action, pandemic, civil unrest, and telecommunications, payment gateway or internet failures. This does not excuse a party’s obligation to pay money.

25Governing Law and Jurisdiction

25.1These Terms are governed by the laws of Malaysia. The courts of Malaysia have exclusive jurisdiction over any dispute arising from these Terms, save where the parties agree otherwise in writing and except that RoroBean may seek urgent relief in any court.

26Amendments to These Terms

26.1RoroBean may amend these Terms. Material changes will be notified to users through the Platform or by email at least thirty (30) days before they take effect, except where a shorter period is needed to meet a legal requirement or to protect the Platform or its users. Continued use of the Platform after that date is acceptance, and a user who does not accept may close the account. A change that benefits users, or that adds a new feature, may take effect at once. A Booking is governed by the version of these Terms the Customer accepted for it.

27General

27.1If any provision of these Terms is unenforceable or invalid, it is limited or removed to the minimum extent necessary, and the rest remain in force.

27.2These Terms, together with the Privacy Policy, the prices and charges shown on the Platform, and any other policy referred to in them, are the entire agreement between the user and RoroBean about the Platform, and replace any earlier agreement or understanding.

27.3RoroBean may assign or transfer its rights and obligations under these Terms to a related company or a successor to its business. A user may not. A failure or delay in enforcing a right is not a waiver of it. No person other than the parties, and RoroBean’s directors, officers, and employees for Sections 17 and 18, may enforce these Terms.

27.4This English text is these Terms until RoroBean publishes a Bahasa Malaysia version. After that, if the two differ, the Bahasa Malaysia version prevails. Sections that by their nature should continue after an account is closed or a Booking ends continue to apply.

REMINDER: This draft is a starting point only. Before publishing these Terms or relying on them in any live transaction, have them reviewed and finalized by a licensed Malaysian advocate & solicitor.

Bahasa Malaysia. RoroBean's legal and tax wording is Bahasa Malaysia. A binding contract is not something to machine-translate, so the authoritative Bahasa Malaysia version of these Terms is to be produced by the reviewing advocate & solicitor together with a governing-language clause. Until then this English draft is what the Platform shows, and it is what an owner's recorded acceptance refers to.
